WOOMEDIA MATRIX — TERMS OF SERVICE & CONDITIONS (ToS)

PLEASE READ THESE TERMS OF SERVICE CAREFULLY BEFORE ACTIVATING OR USING THE WOOMEDIA MATRIX PLUGIN. BY ACTIVATING, RUNNING, OR EXECUTING THE SOFTWARE ON ANY WORDPRESS DEPLOYMENT, YOU UNCONDITIONALLY AGREE TO BE BOUND BY THESE LEGAL TERMS.

1. BINDING SOFTWARE AGREEMENT & PROPRIETARY LICENSE MODEL

WooMedia Matrix (“Software”) is a digital product developed and published by 3umph Studios & Jeral JC Clyde II (“Authors”, “Company”, “We”, “Us”).

(a) GPL Compliance & Split License Model:
The PHP, HTML, CSS, and JavaScript code of this plugin is licensed under the GNU General Public License (“GPL”) v2 or later. However, premium access associated with automated software updates, secure API endpoints, remote taxonomy optimization algorithms, and technical support is conditioned upon the purchase of a proprietary “License Key” package.

(b) Activation Boundaries:
Your purchased License Key is licensed strictly according to the purchased tier: Single Deployment Site (1 site), Agency Tier (3 sites), or Unlimited Developer Tier. Activation of a single key beyond its authorized tier index constitutes a material breach of this Agreement. Any attempt to split, share, resell, lease, or sub-license License Keys to unauthorized third parties or public repository boards will result in the immediate and permanent suspension of the license, without refund, right to cure, or liability.

2. HIGH-LOAD DATABASE EXECUTIONS & LIABILITY EXCLUSIONS

WooMedia Matrix acts as a database uploader, intercepting physical media attachments, scanning taxonomy tags, and performing bulk SQL transaction operations directly on critical WordPress database tables, including but not limited to wp_posts, wp_postmeta, and custom WooCommerce category/metadata registers.

(a) Assumption of Risk:
You acknowledge that bulk database writing carries inherent risks of database deadlocks, indexing fragmentation, metadata collisions, PHP memory exhaustion, or conflict-induced crashes. THE SOFTWARE IS PROVIDED TO YOU “AS IS” AND “WITH ALL FAULTS.”

(b) Mandatory Prerequisite Backups:
It is a strict material condition of this license that the Licensee must perform a complete filesystem and database backup prior to performing any bulk processing or generating products inside the system.

(c) Absolute Limitation of Liability:
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL 3UMPH STUDIOS, JERAL JC CLYDE II, OR CO-DEVELOPERS BE LIABLE FOR ANY DAMAGES WHATSOEVER, INCLUDING DIRECT, EXTRAORDINARY, CONSEQUENTIAL, INDIRECT, SPECIAL, OR ACCIDENTAL DAMAGES (INCLUDING, WITHOUT LIMITATION, LOSS OF DATA, PRODUCTIVITY FAILURE, DATABASE CORRUPTION, SITE CRASHES, HOSTING PLAN CPU OVERAGES, OR LOSS OF SHOP REVENUES) ARISING OUT OF THE USE OF OR INABILITY TO USE THIS SOFTWARE, EVEN IF COMPANY HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. Our maximum aggregate liability for any claims shall under no circumstances exceed the actual amount paid by you for the Software.

3. CO-CREDITS AND ASSIGNMENT

“3umph Studios” and “Jeral JC Clyde II” are the joint copyright operators. No brand trademarks or author descriptions inside WordPress files may be stripped, hidden, or reassembled under alternative white-label branding without express visual written permission of the Company.
